1. Acceptance of Terms

By accessing or using Proofa ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Proofa provides authentication, session management, and licensing infrastructure for web applications. The Service includes:

  • OAuth integration with third-party providers (Google, GitHub, etc.)
  • User identity and session management
  • Multi-tenant project and application management
  • License provisioning and management
  • API access and developer tools

3. Account Registration

3.1 Eligibility

You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this requirement.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Acceptable Use

4.1 Permitted Use

You may use the Service for lawful purposes to:

  • Integrate authentication into your applications
  • Manage user sessions and licenses
  • Access our APIs within rate limits

4.2 Prohibited Activities

You may not:

5. Subscription and Billing

5.1 Plans and Pricing

We offer various subscription plans (Free, Trial, Pro, Team, Enterprise). Pricing and features are available on our website and may change with 30 days' notice.

5.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is due immediately upon subscription
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method automatically

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

6. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms.

7. Intellectual Property

7.1 Our Rights

The Service, including all software, content, and trademarks, is owned by us or our licensors. The Proofa codebase is open source under the MIT License, but the Proofa name and logo are our trademarks.

7.2 Your Rights

You retain ownership of any content you submit to the Service. You grant us a license to use, store, and process your content as necessary to provide the Service.

8. Service Level and Support

8.1 Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

8.2 Support

Support levels vary by plan:

  • Free: Community support
  • Pro/Team: Email support with 48-hour response time
  • Enterprise: Priority support with SLA

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

12.1 By You

You may terminate your account at any time through the account settings.

12.2 By Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms
  • Fail to pay fees
  • Engage in fraudulent or illegal activity

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance. If you disagree with the changes, you must stop using the Service.

14. Governing Law

These Terms are governed by the laws of the jurisdiction where we are incorporated, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in court.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
